1. Agreement to Terms

By accessing or using the FREELANES platform (the "Service"), operated by PRODUXS LLC, a company registered in the state of Wyoming, USA, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms apply to all users of the Service, including the website at freelanes.co and the FREELANES mobile application. You must be at least 18 years of age to use the Service. By using the Service, you represent that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of your company.

2. Description of Service

FREELANES is a freight and logistics software platform that provides real-time GPS tracking, document sharing, messaging, load boards, and asset boards for the transportation industry.

• Three account types: Owner Operator, Carrier, and Broker/Shipper
• Real-time GPS tracking of drivers and shipments via the FREELANES mobile app
• Document sharing between drivers, carriers, and brokers
• In-app messaging between platform participants
• Load board and asset board marketplaces for posting and discovering freight opportunities
• API access for programmatic integration with your existing systems

3. Account Registration & Responsibilities

To use the Service, you must register a company account. Each company has a single set of login credentials shared by authorized users within that organization.

• You are responsible for maintaining the confidentiality of your login credentials
• Your email domain must correspond to your company — generic email providers are not permitted for registration
• You must provide accurate and complete information during registration
• You are responsible for all activity that occurs under your account
• You must notify us immediately of any unauthorized use of your account

We reserve the right to refuse registration, suspend, or terminate accounts that we believe violate these Terms or are fraudulent.

4. Subscription Plans & Features

The Service offers three subscription tiers: Free, Essentials, and Pro. Each tier provides different levels of functionality and data retention.

• Feature availability varies by subscription tier — certain features are restricted to higher tiers
• Subscription tier changes take effect on the 1st of the following month
• Data retention periods vary by tier: Free (3 days), Essentials (7 days), Pro (14 days)
• GPS trail data, messages, and event stream data beyond the retention period are permanently deleted
• We may modify the features included in each tier with reasonable notice

5. Payment Terms

Payment processing is handled by Paddle, our Merchant of Record. Paddle is PCI DSS Level 1 certified. FREELANES does not store credit card numbers or bank account details.

• The Service uses a prepaid balance model — your account balance is deducted nightly based on usage
• Usage is calculated based on location ping volume at your per-ping rate
• When your balance falls below your configured threshold, your saved payment method is automatically charged for your configured refill amount
• All prices are in United States Dollars (USD)
• You are responsible for maintaining a sufficient balance to cover your usage
• Prepaid balances are non-refundable and cannot be withdrawn or transferred

By subscribing to a paid plan, you authorize Paddle to charge your payment method according to these terms. Paddle's terms of service apply to all payment transactions.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service for any illegal, fraudulent, or unauthorized purpose
• Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems
• Interfere with or disrupt the Service or servers connected to the Service
• Scrape, harvest, or collect data from the Service by automated means
• Reverse engineer, decompile, or disassemble any part of the Service
• Exceed API rate limits (100 requests per minute per API key)
• Share your login credentials with unauthorized parties
• Impersonate any person or entity, or falsely represent your company affiliation
• Upload or transmit viruses, malware, or other harmful content
• Use the Service to conduct surveillance beyond legitimate shipment tracking purposes

7. GPS & Location Data

The Service collects GPS location data exclusively through the FREELANES mobile application, only when the driver has granted location permissions on their device.

• Drivers control when to share their location by using the mobile app
• Brokers and shippers can only view location data for tracks they have been assigned and that are accepted and enabled
• Carriers can view location data for drivers within their own fleet
• Location data is not used for surveillance purposes beyond legitimate shipment tracking
• GPS trail data is retained according to your subscription tier (3, 7, or 14 days) and then permanently deleted
• The accuracy of GPS data depends on the driver's device and network conditions — we do not guarantee precision

8. Intellectual Property

The FREELANES name, logo, software, and all related intellectual property are owned by PRODUXS LLC. Nothing in these Terms grants you any right, title, or interest in the Service beyond a limited, non-exclusive, non-transferable license to use the platform in accordance with these Terms.

You retain full ownership of all data you upload to the Service, including shipment information, documents, and messages. By using the Service, you grant us a limited license to store, process, and transmit your data solely for the purpose of providing the Service to you.

You must not copy, modify, distribute, sell, or lease any part of the Service or its software, nor may you reverse engineer or attempt to extract the source code.

9. Third-Party Services

The Service relies on third-party providers to operate. These include cloud infrastructure services (AWS), payment processing (Paddle), and geocoding services (Google). Each third-party provider's own terms of service apply to their respective services.

We are not responsible for outages, errors, or changes made by third-party service providers. We will make reasonable efforts to minimize disruption caused by third-party issues.

10. Data & Content

You are solely responsible for all data and content you upload to or transmit through the Service, including documents, messages, and shipment information.

• We may remove content that violates these Terms or applicable law
• Data shared via the load board and asset board marketplaces is visible to other companies on the platform by design
• Customer share tracking links expose limited shipment data (shipment name, stop locations, driver location) to anyone with the link
• We do not monitor or pre-screen user content, but reserve the right to do so

11. Service Availability & Modifications

We strive to maintain high availability of the Service, but do not guarantee uninterrupted or error-free operation. The Service is provided on a best-effort basis without a formal Service Level Agreement (SLA).

• We may modify, update, or discontinue features of the Service with reasonable notice
• Scheduled maintenance may cause temporary periods of downtime
• API rate limits and technical specifications may change as the platform evolves
• We will endeavor to communicate significant changes in advance through the platform or by email

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

• PRODUXS LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim arising from or related to the Service shall not exceed the total fees you paid in the twelve (12) months preceding the claim
• We are not liable for the accuracy of GPS location data, delivery outcomes, or actions taken by third parties
• We are not liable for any loss of data beyond our stated retention periods
• We are not responsible for decisions made based on information provided through the Service

13. Termination

Either party may terminate the use of the Service at any time. We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms.

• Upon termination, your data will be deleted according to the applicable retention schedule
• Any outstanding balance owed to PRODUXS LLC remains due upon termination
• Provisions of these Terms that by their nature should survive termination shall survive, including limitation of liability, intellectual property, and governing law

14. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.

In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to binding arbitration in the State of Wyoming, in accordance with the rules of the American Arbitration Association.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against PRODUXS LLC.
